Fasadgruppen grows in construction forging through acquisition of JE:s Svets & Smide
Fasadgruppen strengthens its offering in steel structures and forging through the acquisition of JE:s Svets & Smide AB ("JE").
JE is based in Saltsjö-Boo and offers steel structures and building forging to a well-established customer portfolio consisting of both real estate owners and construction companies, mainly in the Stockholm area. With its high level of craftsmanship, the company has participated in many complicated assignments that require specialist expertise. The business holds several certificates. JE has 18 full-time employees, and for the financial year 2023, its revenues amounted to approximately SEK 31 million.
The acquisition is made through Fasadgruppen's subsidiary GAJ Stålkonstruktioner. Together, GAJ and JE will have a strong market position in steel and forging throughout the Mälardalen area.
Nils Andrén, CEO of GAJ said: "JE:s Svets & Smide has built up a strong reputation in the Stockholm area through its craftsmanship. I see good opportunities to continue to advance our market positions in construction forging together, and also to strengthen our cooperation within Fasadgruppen.”
Jan-Erik Eriksson, CEO of JE said: "We started our entrepreneurial journey 35 years ago, and as part of Fasadgruppen and together with GAJ, we now have completely new conditions to take the next step in our development."
Fasadgruppen acquires 91 percent of JE with an option to buy the remaining 9 percent. Fasadgruppen is using existing cash to finance the acquisition. The seller has undertaken to re-invest part of the purchase price by acquiring existing shares in Fasadgruppen within the next three months following completion for an amount corresponding to SEK 1 million. The shares bought under the re-investment are subject to a lock-up commitment for 24 months. The acquisition of JE will be completed in July 2024.
