Trustee appointed for the arbitration proceedings concerning the redemption of minority shares in Heeros Plc

Accountor Finago Oy (“Accountor Finago”) has, by its application to the Redemption Board of the Finland Chamber of Commerce dated 12 March 2025, commenced redemption proceedings in respect of Heeros Plc’s (“Heeros”) minority shares by initiating arbitration proceedings in accordance with Chapter 18, Section 3 of the Finnish Companies Act in order to obtain ownership of all the issued and outstanding shares in Heeros.

Due to Accountor Finago’s application for the above-mentioned arbitration proceedings, the Redemption Board of the Finland Chamber of Commerce has petitioned the District Court of Helsinki for the appointment of a trustee to supervise the interests of Heeros’ minority shareholders in the arbitration proceedings. The District Court of Helsinki has on 9 April 2025 notified Accountor Finago that it has, with its decision given on the same day, appointed Master of Laws, LL.M Kimmo Mettälä to act as such trustee.

Accountor Finago’s notice, as referred to in Chapter 18, Section 5, Subsection 2 of the Finnish Companies Act, is attached to this release and is also available on the website of Heeros at https://www.heeros.com/en/publictenderoffer. The notice will also be published in Finnish in the National Official Journal of Finland (Fi. Virallinen lehti) without delay.
