COPENHAGEN, Denmark, 16 May 2024 - Napatech (OSLO: NAPA.OL) today reports that
it will increase its share capital by a nominal amount of DKK 82,837
corresponding to 331,348 new shares as a consequence of the exercise of warrants
as part of Napatech's incentive program.
The shares are subscribed in cash at the following subscription price:
o A nominal amount of DKK 64,583.25 at NOK 1,291,665, corresponding to NOK 5.00
per one new share of DKK 0.25 (and pursuant to article 7.3 of the articles of
association),
o A nominal amount of DKK 2,666.25 at NOK 53,325, corresponding to NOK 5.00 per
one new share of DKK 0.25 (and pursuant to article 7.4 of the articles of
association),
o A nominal amount of DKK 12,462.50 at NOK 82,275, corresponding to NOK 1.65 per
one new share of DKK 0.25 (and pursuant to article 7.5 of the articles of
association), and
o A nominal amount of DKK 3,125 at NOK 52,250, corresponding to NOK 4.18 per one
new share of DKK 0.25 (and pursuant to article 7.6 of the articles of
association).
The new shares are ordinary shares without any special rights and are freely
transferable negotiable instruments. The new shares give rights to dividends and
other rights in relation to the company as of the registration date with the
Danish Business Authority. The new shares will be listed on the Oslo Stock
Exchange as soon as possible thereafter.
The capital increase is carried out without any pre-emption rights for existing
shareholders or others and is expected to be carried out in the next few days.
Pursuant to section 32 of the Danish Capital Markets Act, it is hereby announced
that the total nominal value of Napatech A/S' share capital after the capital
increase is DKK 24,903,637.00, divided into 99,614,548 shares of a nominal value
of DKK 0,25 each, corresponding to 99,614,548 votes.
